As a key member of AESC US LLC, you will play a crucial role in advancing our mission to lead in full-value-chain battery solutions for a sustainable future. Your work within the team will directly impact our strategic goals and contribute to our position as a global leader in battery technology.What You Will Do Plays a critical role in the in-house legal department.Provides strategic advice and guidance on corporate finance matters, including debt and equity financing, as well as strategic merger and acquisition transactions and joint venture and technology partners.Conducts legal analyses on deals across a wide range of corporate finance matters, including debt and equity financings, mergers, acquisitions, divestitures, joint ventures, tech transfer deals and strategic alliances.Drafts, reviews, and negotiates complex transactional agreements.Oversees due diligence investigations and regulatory review to ensure successful transactions for the company.Collaborates with internal teams, including strategy, finance, tax, and corporate development to ensure alignment and compliance with legal requirements.Provides guidance on corporate governance matters, securities regulations, and compliance with applicable laws and regulations.Provides support and advises Executive Management on legal implications and potential risks associated with business decisions.Keeps abreast of legal and industry developments affecting corporate finance and mergers and acquisitions activities.Coordinates and manages relationships with external legal advisors, ensuring cost-effective and efficient delivery of legal services.Builds and manages an internal corporate finance and merger and acquisition team to meet the needs of the business.Assists with global legal matters and transactions across the group in each region. Attends internal and external stakeholder meetings and negotiations.What You NeedAdmission to the New York or California Bar;Five (5) years of professional experience as a practicing attorney, specializing in Merger and Acquisition activities; Five (5) years of professional experience as a practicing attorney, specializing in Corporate Finance activities; Two (2) years of professional experience as a practicing attorney, specializing in domestic and cross border investments and financial products; Two (2) years of professional experience conducting due diligence and providing general assistance with closing mechanics for corporate transactions;Three (3) years of professional experience drafting, reviewing and negotiating complex transactional agreements;Three (3) years of professional experience conducting legal analysis relating to debt and equity financing, divestures, joint ventures, tech transfer deals and strategic alliances;Two (2) years of professional experience researching various issues for general corporate and securities matters;Two (2) years of professional experience reviewing and revising various corporate finance filings.Will accept a Juris Doctor degree from an ABA accredited law school and five (5) years of professional experience as a practicing attorney providing U.S. legal services with experience in corporate finance, and mergers and acquisitions, within a major AM-100 US Law Firm.Application Process Even if you don't meet every requirement listed, if you believe this role suits you well, we encourage you to apply.
