General PurposeProvide legal advice on a variety of complex real estate and energy contract and transactional issues, with a primary emphasis on contract negotiation with large load customers, developers and other parties with commercial interests. Familiarity with privacy matters and/or federal energy policy a plus.
Responsibilities- Provide legal support on real estate matters, including eminent domain proceedings, real estate contracting, easements, rights of way, and property dispositions.
- Provide legal support in the drafting, negotiation and administration of all manner of contracts supporting energy transactions, including power purchase agreements, build-transfer agreements, major equipment purchase agreements, engineering, procurement and construction agreements, long-term service and maintenance agreements, master trading agreements (EEI, WSPP, ISDA), and Public Utility Regulatory Policies Act of 1978 agreements.
- Familiarity with privacy law a plus.
- Familiarity with Federal Energy Regulatory Commission open access transmission tariff and associated policies and/or state public utility commission policies affecting a utility’s planning and procurement activities a plus.
- Provide guidance and training to less experienced attorneys and manage attorneys and other legal staff as appropriate. Oversee, select, and direct outside legal counsel as appropriate. Develop and present materials to senior management.
Requirements- Juris Doctorate degree from an accredited law school and successful completion of bar exam in one or more states in which the company conducts business.
- A minimum of eight years related experience in a law firm, government or corporate legal department.
- Management skills including the ability to negotiate with and influence peers and senior officers on policy and strategic issues.
- Communication and interpersonal skills including the ability to manage and motivate employees.
- Use oral and written communication to communicate strategy and effectively interface with other company leaders.
- Knowledge of the company’s strategic plan, regulatory and political environment, as well as the company’s policies, procedures, and practices, and applicable federal, state, and local laws and regulations.
Preferences- Prior experience in energy law and a combination of law firm and corporate experience preferred.
- Experience with real estate law preferred.
