Vixxo is seeking a full-time, Corporate/In House Counsel to be based in Scottsdale, AZ. (Hybrid Model - In Office - Tuesday, Wednesday, Thursday)
Position Summary:
Vixxo is seeking an experienced Corporate Counsel to provide comprehensive legal counsel and legal risk analysis related to Vixxo's various business operations and initiatives. We are looking for a leader who thrives in a fast-paced environment and enjoys working on a wide variety of different issues on a day-to-day basis, reporting to the CFO. The Corporate Counsel supports all legal issues and ensures the protection of Vixxo's legal and regulatory rights and interests, and maintains its operations within the scope established by law. In alignment with business goals and needs, provides hands-on counsel and legal expertise to the executive team and makes recommendations to all departments, as needed. Provides counsel primarily for contract review and drafting in support of all Vixxo functions and risk management, including insurance coverage and claims management. In addition, provides support for disputes and litigation matters and coordinates with outside counsel if required. Supports Human Resources on employment matters and provides support for strategic transactions, including mergers and acquisitions.
Essential Duties and Responsibilities:
Contract review and drafting.Creation and revisions to contract forms. Manage contract renewal process. Conduct contract training for business owners and development of contracting and other processes and SOPs. Includes NDAs, customers, vendors, SAAS, employment, and other business agreements.
Key contact for insurance issues and renewals. Manage all General Liability claims and resolution, oversight of insurance claims adjusters and outside claims counsel.
Dispute resolution involving claims relating to payments in dispute, including settlements and negotiation.
Support Merger & Acquisition activities in coordination with Vixxo Corporate Development and other business owners.
Corporate governance and maintenance of corporate entities in all 50 states and Canada.
Qualifications and Experience:
5-7 years of relevant experience at a nationally reputable law firm and/or with a corporate environment with a strong transactional background and some litigation experience.
Successful in practicing in a combination of large/small companies as in-house counsel and/or external / 3rd party counsel. Prior in-house experience preferred.
Experience working in a facility management industry is preferred.
Extensive knowledge of business management and best practices and a clear and comprehensive understanding of legal matters such as corporate governance, contracts, and compliance.
Excellent contract drafting and management skills.
Experience coordinating company insurance coverages and managing insurance-related claims.

Comfortable in ascertaining when/how to engage with outside counsel and manage that engagement.
Detail-oriented, extremely organized, efficient, and resourceful with strong follow-through and accountability skills.
Be a self-starter who is quick to pick up new concepts and willing and able to dig in and become an "expert" as needs arise.
Education, Certificates, Licenses, Registrations, and Education Requirements:
A Juris Doctor (J.D.) degree is required with exceptional academic credentials.
In good and active standing to practice in Arizona and with the Arizona State Bar (either as in-house counsel or admitted in AZ).
