We are recruiting for a legal counsel within a global financial services company. The Legal Counsel will report to a senior member of the legal team. This role involves handling a wide range of legal matters, including management company and corporate issues, counterparty arrangements, and capital formation. The successful candidate will work closely with internal stakeholders to structure private funds, separately managed accounts, joint ventures, and co-investments, and strategize on capital-raising initiatives. This position also requires providing legal support on regulatory compliance and anticipating legal risks.
Key Responsibilities:
- Collaborate with internal stakeholders to structure private funds, separately managed accounts, joint ventures, and co-investments.
- Strategize efficient methods for raising capital and supporting the firm's investment transactions.
- Provide legal advice and support to the firm's compliance team on regulatory matters
- Analyze legal issues that impact capital-raising activities and strategies, and maintain up-to-date knowledge of legal and regulatory requirements.
- Actively consult and coordinate with the firm's business leaders to ensure legal risks are managed and business objectives are met.
- Work closely with senior members of the firm on investment transactions and other corporate matters.
Qualifications:
- Juris Doctor (JD) from an accredited law school.
- 3-5 years of experience in a legal role, either in-house or at a law firm.
- Strong knowledge of corporate, securities, and contract law.
- Experience advising alternative investment managers and handling regulatory compliance issues.
- Licensed to practice law and in good standing with MN bar.
- Passion for the alternatives industry and corporate/securities law.
- Proven ability to provide practical, business-minded legal advice in complex situations.
- Strong skills in communication, collaboration, problem-solving, and strategic thinking.
- Personal qualities including self-confidence, resourcefulness, adaptability, initiative, attention to detail, self-motivation, and the ability to handle diverse situations and responsibilities effectively.
