Our client, a leader in providing comprehensive legal services, is seeking an experienced Corporate Partner to join their practice group in Chicago. As part of their dedicated team, you will counsel a diverse range of organisations on the complex legal issues they encounter throughout their life cycle.
Responsibilities:
- Serve as a trusted legal advisor to clients on daily business operations and transactions, including organisational formation, finance, and capital structure.
- Advise on mergers and acquisitions, including assessment, negotiation, and planning for optimal tax consequences.
- Provide counsel on corporate governance, executive compensation, and business continuity planning.
- Represent clients in debtor and creditor rights matters, including reorganisations, debt restructuring, and distressed real estate workouts.
- Offer legal guidance on federal, state, and local taxation matters, including tax planning and representation in audits and disputes.
- Oversee banking and finance transactions, including secured and unsecured lending, venture capital, and government-assisted financing.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Extensive experience in corporate law, with a focus on advising businesses in various stages of their lifecycle.
- Strong knowledge of tax law, debtor and creditor rights, and banking and finance.
- Proven ability to manage complex legal matters and provide strategic advice to clients.
- Ability to work collaboratively in a fast-paced, client-focused environment.
