Velocity Venture Partners seeks a mid-level real estate and finance Attorney with substantial experience in commercial real estate and complex finance transactions to join our growing Bala Cynwyd, PA real estate investment firm. Required experience includes reviewing and negotiating mortgage loans and mezzanine loan documents. Experience in the restructuring and workout of commercial mortgage loans is also helpful, specifically experience representing mortgage and mezzanine lenders. Large law firm experience strongly preferred. Experience with CMBS loans and intercreditor and co-lender agreements a plus. Candidate must also have significant experience and facility with limited liability company operating agreements, joint venture structuring and documentation.
Responsibilities will include (among other duties):
- Preparing and negotiating loan documents.
- Organizing real estate acquisition, sale and financing closings.
- Preparing and “running” closing checklists and checklist calls.
- Reviewing, substantively analyzing and summarizing title commitments, surveys, zoning reports and similar real property diligence.
- Facilitating communications between transaction counterparties and their counsel(s).
- Monitoring and meeting transaction deadlines.
- Document management and retention.
Qualifications:
- Must be admitted to the Bar in Pennsylvania and/or New Jersey and must be in good standing.
- At least 5 years prior associate attorney (or above) experience at a law firm and/or in-house position.
- Strong interpersonal skills including the ability to respond productively to direction and feedback, and to work well with staff and leadership at all levels.
- Excellent verbal and written communication skills, including the ability to communicate effectively in a virtual environment.
- Ability to manage workflow and work under tight deadlines and other time constraints with competing and shifting priorities.
- Outstanding attention to detail and accuracy, and commitment to work product that is thorough, complete, and excellent is needed. Must be a team player and have a spirit of camaraderie and collaboration. Strong written and verbal communication skills are also critical.
