The General Counsel (Real Estate Developer) ("GC”) will report to the Chairman and President of the company and assist them with a broad range of legal issues connected with real estate transactions and ownership of properties. The GC will also assist with business-related decisions and strategy. The GC will coordinate and oversee legal work outsourced to various outside counsels.
Areas of Work:
Acquisitions and Financings
• Acquiring and disposing of real estate
• Loan financings/closings for acquisition loans, construction loans, permanent loans, re-financings, bond financing and Low-Income Housing Tax credit financing
• Site selection and acquisition due diligence review
• Environmental and Property reports review
Leasing and Other Agreements
• Term sheets and operating agreements with Investors and Partners
• Development, management, and construction management services agreements
• Residential, commercial and retail leasing (term sheets, leases and related agreements)
• 3rd party service/vendor agreements
• Employment and HR related agreements
• Insurance coverage and renewals
• Tax abatement compliance (including 421-a, ICAP and IDA), tax certiorari filings
• Broker and Consultant agreements
• Miscellaneous agreements including NDA’s, Indemnity agreements, releases, and license agreements.
Other
• Oversight of any litigation
• Company compliance with existing agreements
• Assist with and respond to RFPs and RFQs
• Assist management team with landlord-tenant legal matters
• Liaison with governmental agencies including NYS, NYC, Counties and Towns
Minimum Requirements
• At least four years’ experience practicing real estate law at a NY law firm
• Active license to practice law in New York
• Expertise in written and verbal communication
• Knowledge of state and federal laws regarding transfer and sale of real property
• Proficient with Microsoft Office Suite, Excel, and other related software programs
• Strong Research skills
