Position: Energy and Projects Infrastructure Associate (2-3 Years)

Overview:
We are seeking a highly motivated associate with 2-3 years of experience to join our Energy and Projects Infrastructure practice. This role provides the opportunity to work on a variety of project financings and transactions across the energy and infrastructure sectors in the U.S., including renewable energy, conventional power, and diverse infrastructure assets.
Clients:
Our group represents a diverse range of clients, including leading corporations, private equity firms, institutional investors, banks, and financial institutions. We also have a strong focus on renewable energy, power, and tax equity transactions, and are actively involved in digital infrastructure projects, including public-private partnership (P3) data centers.
Key Responsibilities:
- Assist in advising clients on the financing, development, acquisition, and disposition of energy and infrastructure projects, with support in structuring and negotiating financial transactions.
- Draft and review financing documents, including credit agreements, security agreements, intercreditor agreements, and project finance documents.
- Support strategic advice on regulatory compliance, risk management, and financial structuring to enhance project economics and mitigate risks.
- Conduct due diligence, assist in preparing legal opinions, and help manage closings for financings and other transactions.
- Collaborate with partners, senior associates, and clients to provide comprehensive legal and financial support throughout all phases of project finance and development.
- Stay informed on industry developments, regulatory changes, and emerging trends impacting the energy and infrastructure finance sectors.
Qualifications:
- 2-3 years of experience at a top-tier law firm or in-house legal department, focusing on project finance, energy, and infrastructure.
- Strong academic credentials from an accredited law school.
- Admission to practice in New York State Bar.
- Demonstrated experience in project finance, including assisting with structuring, negotiating, and closing financial transactions.
- Experience with various financing types, including construction financings, back-leverage financings, and acquisition financings.
- Excellent drafting, negotiation, and analytical skills.
- Ability to manage multiple priorities and transactions in a fast-paced environment.
- A proactive, team-oriented approach, with the ability to work independently and collaboratively.
Preferred Skills:
- Familiarity with international project finance transactions, particularly involving multi-jurisdictional legal and regulatory issues.
- Proficiency in limited recourse and structured financings, leveraged financings, and other complex financing structures.
