In-House Corporate Paralegal position to support a small legal team that assists the investment activities of a private equity firm in connection with its acquisition of new platform investments as well as the oversight and operations of portfolio companies. The legal team’s work focuses on M&A activity, financings, corporate obligations, board resolutions, maintaining and monitoring capitalization tables, and equity plans, as well as other compliance matters that arise.
The successful candidate will have Corporate Paralegal responsibilities, including:
• Handle preparation, distribution, execution and organization of legal documents relating to platform transactions, M&A, financing and equity grants, as well as drafting certain legal documentation pertaining to entity formations and dissolutions, written consents for boards of directors and board committees and other corporate actions
• Assist in marking up, negotiating and tracking confidentiality agreements and related documents, including non-reliance letters, access letters and joinders
• Organize and assist in maintaining action items and related charts, spreadsheets, files, and status trackers for the legal team
• Assist with documentation for changes to portfolio company capitalization tables, equity plans and director and officer lists and related corporate actions
• Assist with compliance matters, including conflict checks and maintenance of all compliance related records, in coordination with Chief Compliance Officer
• Handle a high volume of correspondence with both internal and external parties
Requirements:
3+ years Corporate Paralegal experience in either a law firm or financial service institution
Strong ability to work as part of a team
High-level detail orientation
