My client is a development firm specializing in the acquisition, repositioning, preservation, and creation of affordable housing and they need a General Counsel. Is it you? I really hope so... First, let's look at the responsibilities, as that's what they need (and what I need to see on a resume).
Responsibilities:
- Manage outside counsel communications for transaction or litigation matters.
- Draft, revise, and review documents including leases, lease amendments, construction agreements, service vendor contracts, property management agreements, license agreements, broker/listing agreements, letter agreements, and other relevant documents.
- Draft and maintain corporate documents including operating agreements, resolutions, and memos.
- Manage all matters related to insurance coverage for Corporate, the General Partners, and the Venture LPs; property, liability, corporate governance, etc.
- Maintain the primary relationship between our broker, claims adjustors, defense counsel, and any other relevant parties.
- Represent company in negotiations during due diligence period, including but not limited to seller agents, lenders, and equity partners.
- Perform research relevant to company real estate inquires or issues and prepare finding summaries for internal use.
- Represent company in business negotiations, in partnership with the leadership team.
- Maintain sound legal knowledge of current regulations, policies, and best practices in the LIHTC space.

Qualifications and Further Details:
- A member in good standing of the California bar.
- Minimum of five years practicing law.
- Experience in the LIHTC project space; experience is ideally with document review and agreement amendments in LIHTC.
- Demonstrated experience handling complex matter issues.
- Demonstrated experience in analyzing and interpreting statues, regulations, and other relevant administrative guidance.
- Location: El Segundo area of Los Angeles. Team members are present in the office on Mon/Tues/Wed/Friday, with Thurs as corporate wide WFH days.
- Compensation: $250,000 - $275,000
