This Director-level role will support the financing business lines of Natixis CIB Americas. Responsibilities will include (i) coordinating with the front office and external counsel to appropriately document new loans or modify existing loans, (ii) developing and implementing minimum standards and (iii) providing legal and regulatory advice as relevant.
He/she/they will be responsible for working with origination, underwriting, distribution, portfolio management, credit and agency teams on structuring, documentation, syndication, and administration of loans originated by the Natixis CIB Americas platform. Coverage responsibilities will vary depending on the needs of the business and the specific expertise of the successful candidate and may include project finance, trade and supply chain finance, leveraged finance, ESG and/or fund finance.
This will include:
- Working with internal business partners and external counsel to develop loan documentation that protects the bank’s interests as lender, agent and/or seller within the context of the bank’s distribution strategies
- Advising internal business partners in analyzing, negotiating, and resolving legal issues related to loan origination, distribution, management and/or administration
- Taking all necessary steps to ensure a proper understanding of legal risks incurred by the covered business lines and providing appropriate solutions in order to control and reduce legal risks
- Developing best practices and ensuring quality control for loan origination and syndication activities
- Coordinating across support functions including Compliance, Credit and Finance to promote transparency and consistency in approach
- Providing legal analysis on new products and activities, as necessary
- Instructing and managing external counsel and legal fees.
Qualifications
- JD or LLM degree.
- 5+ years of financing experience at a large financial institution and/or a leading law firm.
- Deep understanding of financing structures and transactions in the United States, with specific expertise in one or more of the following areas: project finance, trade and supply chain finance, leverage finance and/or fund finance.
- Experience in project finance is a plus
- Solid verbal and interpersonal skills.
- Effective written communication, including the ability to convey thoughts clearly and succinctly and to communicate pertinent, complex information in a clear and organized manner.
- Strong analytical and organizational skills.
- The ability to manage multiple priorities, working under pressure to meet deadlines, and the ability to respond creatively and quickly in a fast-paced and changing environment.
- Self-motivated with the ability to work independently while understanding when to involve other team members as needed and to work effectively in a team environment.
- High degree of integrity and strong work ethic.Timely follow-through on commitments. Promote best practices within department and enhance control over procedures.
- Qualified candidates must currently be admitted to the bar of the State of New York as an active member in good standing or registered (or qualified to register) as in-house counsel under the Rules of the Court of Appeals of the State of New York.

The salary range for this position will be between $225,000 - $260,000. Natixis is required by law to include a reasonable estimate of the compensation range for this role. Actual base salary will vary and will be based on several factors including, but not limited to, relevant experience, education, skills set, applicable licensure and certifications, and other business and organizational needs. Base salary is only one component of our total rewards package. Natixis also offers a generous benefits package, and you may be eligible for a discretionary incentive award depending on company and individual performance.
