Job Summary
The Corporate Paralegal will support Corporate Counsel in all aspects of corporate and real estate law, including mergers and acquisitions, real estate transactions, lease and sale agreements, and contract management. The ideal candidate will possess strong analytical skills, attention to detail, and the ability to manage multiple projects in a fast-paced environment.
Key Responsibilities
Mergers and Acquisitions:
- Assist in all phases of mergers, acquisitions, and other corporate transactions.
- Perform due diligence, including reviewing contracts, financial statements, and other documents.
- ·Organize closing documents and coordinate closing processes.
Contract Management:
- Modify, review, and revise contracts, agreements, and other legal documents.
- Manage and track contract deadlines, renewals, and obligations.
- Ensure compliance with contractual terms and conditions.
Transaction Management:
- Assist in all phases of real estate transactions, including acquisitions, dispositions, and leasing.
- Modify and review contracts, lease agreements, purchase and sale agreements, and other related documents.
- Coordinate due diligence processes, including title searches, survey reviews, and environmental assessments.
Document Preparation:
- Draft and proofread legal documents and correspondence.
- Prepare closing checklists and coordinate closing procedures.
- Ensure all necessary documents are completed accurately and in a timely manner.
Administrative Support:
- Manage and organize legal files and documents.
- Maintain organized files and records for each transaction.
- Handle administrative tasks such as scheduling, filing, and data entry.
Qualifications
Education:
- Bachelor’s degree in Paralegal Studies, Legal Studies, or a related field.
- Paralegal certification from an ABA-approved program preferred.
Experience:
- Minimum of 3 years of experience as a corporate paralegal.
- Experience with mergers and acquisitions, and commercial real estate transactions is highly desirable.
Skills:
- Strong knowledge of real estate law and transaction processes.
- Proficiency in Microsoft Office Suite, legal research tools, and contract management software.
- Excellent written and verbal communication skills.
- Detail-oriented with strong organizational and multitasking abilities.
- Ability to work independently and as part of a team.
