Responsibilities:
- Draft contracts according to playbooks and the company's standard forms.
- Prepare and review client contract amendments and SOW
- Correspondence regarding contract matters and coordinating distribution of documents to counterparties such as clients, suppliers, etc.
- Create issues tables to assist with the negotiation of contracts.
- Coordinating internal signature process.
- File management; including daily filing and organization.
- Ad hoc legal research as needed on corporate topics and organization of research files and memoranda.
- Assisting with the engagement and management of external legal counsel.
- Filing legal matters and data/records management.
Qualifications:
- At least 3+ years experience as a paralegal with responsibility for contract administration and management matters.
- Paralegal certification (e.g. NFPA, NALA) is a plus.
- Ability to master commercial proposals and extensive proofreading experience.
- Excellent MS Word and data management skills.
- Familiarity with drafting aspects of software license agreements, amendments and statements of work (including detailed commercial exhibits and provisions) is a plus.
- Previous work experience with a software or technology company, or with a law firm department providing intellectual property law and/or technology law services, is desirable.
