A leading Public Real Estate Firm is seeking a Senior Corporate Counsel to join their growing legal team. This role will primarily focus on general corporate and securities-related legal matters while also advising the Company’s Board of Directors. The Corporate Counsel will also provide regulatory and reporting support under the ’33 and ’34 Act and assist with the day-to-day operations of a public company.
Key Responsibilities:
- Advise on federal and state securities laws, specifically under the ’33 and ’34 Act, NYSE compliance, Regulation FD and insider trading.
- Prepare annual SEC filings, including 10-K’s, 10-Q’s, 8-K’s and proxy statements.
- Assist with Board communications, press releases, earnings, investor presentations and other external communications.
- Prepare and assist with committee and stockholder meetings and provide other secretarial support.
Required Skills:
- J.D., Bar membership and 3+ years of corporate governance and public reporting experience – REIT experience is a plus.
- Experience with filings and compliance under the Securities Exchange Act of 1934 and knowledge of the day-to-day operations of a public company.
- Ability to communicate clearly and concisely with executive presence and work collaboratively in an entrepreneurial, fast-paced environment.
- Ability to manage and prioritize multiple demands and projects simultaneously.
