The Corporate Counsel will play a crucial role in managing the legal affairs of Finaventures and its portfolio companies. This position requires a proactive LEADER, a FEARLESS litigator mindset, a shrewd NEGOTIATOR, and a DECISIVE legal professional who can provide comprehensive legal support for regulatory compliance, corporate governance, and ongoing portfolio management. The Corporate Counsel will be responsible for ensuring legal compliance, mitigating risks, and facilitating the growth and success of our portfolio companies, particularly those in the clean energy sector.
This position is IN-OFFICE IN-PERSON in North Scottsdale, AZ, and requires 5 days/week on-premises work (NO REMOTE, NO RELO).
Key Responsibilities:
General Legal Support:
Manage relationships with external legal counsel and coordinate their work as needed.
Provide legal advice on regulatory compliance matters.
Corporate Governance:
Assist in the preparation and review of board materials, minutes, and resolutions.
Ensure compliance with corporate governance standards and best practices.
Contracts Management:
Oversee the drafting, review, and management of all contracts for the firm's portfolio companies.
Ensure that all contractual obligations are met and that contracts are compliant with applicable laws and regulations.
Develop and maintain a centralized contract management system to track and manage all portfolio company contracts.
Regulatory Compliance:
Monitor and interpret relevant laws, regulations, and industry standards affecting the fund management industry.
Ensure the company’s compliance with SEC, FINRA, and other regulatory requirements.
Develop and implement compliance policies and procedures to mitigate legal risks.
Risk Management:
Identify and assess potential legal risks and develop strategies to mitigate them.
Conduct legal research and stay up-to-date with changes in laws and regulations that may impact the business.
Qualifications:
Juris Doctor (JD) degree from an accredited law school.
Admission to the state bar of Arizona.
Minimum of 5 years of experience in a legal role, with a focus on portfolio management, preferably within the financial services or fund management industry.
Strong understanding of SEC and FINRA regulations.
Exceptional attention to detail and organizational skills.
Excellent written and verbal communication skills.
Ability to work independently and manage multiple tasks simultaneously.
