Pay Rate: $30.00 - $40.00/hour + up to $10.00/day for parking reimbursement
Schedule: Tuesday – Thursday, 6 hours/day, between the hours of 8:00 am – 5:00 pm
Assignment Length: Monday, 8/5/2024 through the end of the year
Company/Position Overview: Our client, a law firm that provides oil, gas, and energy representation throughout the western U.S., needs a temporary Title and Corporate/Transactional Paralegal to support the 2 different practice teams (8 – 10 total attorneys) through the end of the year.
Title Responsibilities:
- Proofread and format title opinions
- Create schedules or tabulations based upon abstract instruments and information therein
- Prepare ownership Excel spreadsheets
- Research and obtain recorded documents
- Assist attorneys with various tasks related to title curative
- Review, file, and follow up on client correspondence
- Research case law or statutes related to title matters
- Research and retrieve probate records
Corporate/Transactional:
Mergers, corporate, and asset acquisitions, financings
- Draft, edit, organize, and coordinate documents for corporate M&A, asset acquisitions, divestitures, and financing transactions
- Develop, maintain, and manage calendar for transactions and closings
- Record real property instruments in compliance with local, state, and federal recording requirements
- Assist with and perform real and personal property due diligence
- Prepare and maintain closing books
Corporate formation and governance
- Draft, proofread, and organize documents pertaining to corporate formation, property interests, and secured transactions
- Draft and maintain corporate governance documents, including resolutions, standardized agreements, annual reports, and minutes
- Maintain docketing calendar for corporate filing deadlines
General
- Perform online legal and non-legal research, including existence and good standing information from various states
- Obtain, interpret, and summarize various data, state and federal case files, curative instruments, and loan documents
- File pleadings and reports with various local, state, and federal agencies
Qualifications:
- 3+ years of corporate/transactional legal experience; knowledge of title insurance a strong plus
- Paralegal Certification is a strong plus
- Excellent proofreading skills
- Microsoft Word Styles and Microsoft Excel required
- Attention to detail, strong organizational skills, self-motivation, and ability to take direction and work independently are critical
