Qualifications
- 6+ years of legal experience, with a strong focus on healthtech, commercial contracts, and regulatory matters
- Juris Doctor (JD) degree from an accredited law school and membership in good standing with any state bar
- Expertise in drafting, reviewing, and negotiating a wide range of commercial contracts, including SaaS agreements, vendor agreements, Master Service Agreements (MSAs), partnership agreements, etc.
- Strong familiarty of healthcare regulations, including telehealth, privacy (HIPAA, HITECH), fraud and abuse laws (AKS, FCA), and corporate practice of medicine
- Proven ability to collaborate effectively with cross-functional teams, including Sales, Product Development, Finance, and Operations, to provide practical legal guidance that supports business goals and mitigates risks.
- Comfortable working in a fast-paced startup environment, with a demonstrated ability to shift gears quickly, handle multiple priorities, and adapt to evolving business needs and challenges
Responsibilities
- Strategy and Business Advice: Serve as a strategic advisor to the executive team, providing proactive legal guidance on business decisions to support company growth and long-term goals. Develop and implement legal strategies aligned with key business initiatives such as market expansion, product development, and partnerships, while offering thought leadership on industry trends and best practices to maintain a competitive edge.
- Commercial Contracts: Draft, review, negotiate, and manage a wide variety of commercial contracts, including software licensing agreements, partnership agreements, vendor contracts, and NDAs, ensuring they are aligned with the company’s strategic goals and comply with applicable laws.
- Regulatory Compliance: Advise on healthcare-related regulatory matters, including data privacy, security (HIPAA, HITECH), and compliance with federal and state healthcare laws. Stay current on changes in regulations that may impact the business.
- Risk Management: Identify, assess, and mitigate potential risks to the business, including litigation, intellectual property protection, and data security risks.
- Cross-functional Collaboration: Work closely with the executive team, product development, sales, and other departments to provide practical and timely legal advice that supports business objectives and mitigates risks.
- Outside Counsel Management: Manage relationships with external legal counsel as needed, ensuring efficient use of resources and alignment with company's goals.
