Our client, an innovative alternative asset fund based out of Midtown, is looking to add a Private Fund Counsel to their high-performing teams based out of their NYC office.
Qualified candidates must have 5+ YOE in BigLaw, or at a large financial institutions firm. Ideally, you will have a mix of in-house experience and firm experience.
- JD from a well-known Law School;
- 5+ YOE in fund formation, with particular emphasis on open-ended funds, and experience with direct lending & credit funds would be ideal.
- Ability to structure complex fund structures, including co-mingled, fund of one, and SMAs.
- Ability to draft PPM, LPA, side letters, placements agreements, fund administrator agreements, and private placement memoranda.
- Proficiency and extensive knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, the Investment Company Act of 1940, the Investment Advisers Act of 1940, and other regulations;
- Nice to have: experience with 1940 Act funds and Commodities trading.
- Ability to interact with the Investment teams and work with key business stakeholders.
