Position Overview:
We are seeking an experienced and highly skilled **Senior Legal Counsel** to join our dynamic legal team. The successful candidate will provide expert legal advice and support across all areas of the company’s operations, with a particular focus on construction law, financial transactions, intellectual property (patents), and general litigation. This role requires a deep understanding of the legal challenges associated with complex construction projects and experience in navigating the legal aspects of innovative technology deployments and financial agreements.
Key Responsibilities:
Construction Law:
- Draft, negotiate, and review contracts related to construction projects, including EPC (Engineering, Procurement, and Construction) contracts, subcontractor agreements, and service contracts.
- Provide legal advice on construction-related disputes, including issues related to project delays, defects, and contract breaches.
- Ensure compliance with local, state, and federal regulations related to construction and environmental laws.
Financial Transactions:
- Advise on the legal aspects of financial transactions, including project financing, joint ventures, and mergers and acquisitions.
- Draft, review, and negotiate financing agreements, loan documents, and security instruments.
- Provide legal support for capital raising activities, including private equity and debt offerings.
Patents and Intellectual Property:
- Manage the company’s intellectual property portfolio, with a focus on patent applications, prosecutions, and licensing related to renewable energy technologies and construction innovations.
- Provide legal counsel on IP-related disputes, including patent infringement and technology transfer agreements.
- Collaborate with R&D teams to ensure legal protection of innovative technologies and innovations.
General Litigation:
- Represent the company in litigation matters, including construction disputes, contractual claims, and other commercial litigation.
- Develop and implement litigation strategies in collaboration with external counsel.
- Oversee discovery processes, manage document production, and represent the company in court proceedings.
Qualifications:
Education:
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in good standing with the state bar.
Experience:
- Minimum of 8+ years of legal experience, with a strong background in construction law.
- Proven experience in handling complex financial transactions, particularly in the construction or renewable energy sectors.
- Demonstrated experience in managing intellectual property matters, including patents.
- Extensive experience in general litigation, with a record of accomplishment of successful case management and dispute resolution.
