Job Summary:
Asset Based Lending is seeking a dynamic and detail-oriented Assistant Counsel to join our legal team. This role reports directly to the General Counsel and will play a vital part in assisting with our closing process for real estate business purpose loans and your responsibilities will include preparing and reviewing legal documents, title and closing packages, research lending compliance issues, becoming fluent in ABL’s credit culture and processes, and implementing and augmenting our current closing processes with current best practices. In addition, you will be expected to manage relationships with outside counsel and other stakeholders as appropriate. The ideal candidate will have experience in the mortgage industry, excellent communication and negotiation skills, and a strong understanding of real estate lending transactions.
In addition, this role offers a unique opportunity to work closely with our foreclosure, loss mitigation, and closing departments, providing vital legal support in a fast-paced, growth-oriented environment. The ideal candidate will have 3-5 years of post-graduate experience, with a strong aptitude for drafting and negotiating legal documents, and a keen interest in real estate law.
Key Responsibilities:
- Prepare accurate and comprehensive legal documents such as loan agreements, loan modifications, deed-in-lieu agreements, and other ancillary documents.
- Coordinate with loan officers, underwriters, and other team members to facilitate a smooth and efficient closing process.
- Collaborate with title companies, third-party counsel and other legal professionals, to address any title-related issues and ensure appropriate title coverage.
- Review and draft non-disclosure agreements and vendor contracts.
- Negotiate Master Agreements with warehouse lenders and loan buyers.
- Communicate effectively with teammates, lenders, and other stakeholders to provide guidance and ensure a seamless closing process.
Additional Responsibilities:
- Departmental Collaboration: Partner closely with our foreclosure, loss mitigation, and closing teams to provide strategic legal guidance, ensuring smooth and efficient operations.
- Title and Closing Coordination: Work with title companies, external counsel, and other legal professionals to resolve title-related issues and secure appropriate title insurance for transactions.
- Contract Negotiation: Review and negotiate vendor contracts, ensuring terms are favorable and aligned with company policies.
- Due Diligence: Conduct thorough due diligence on loan files, ensuring all legal and regulatory requirements are met.
- Research: Provide insight for the lending business as it continues to expand nationwide by continuing to ensure ABL’s compliance with any and all lending regulations on a state-by-state basis.
Qualifications:
Education:
- Juris Doctorate from an accredited law school.
Licensing:
- Licensed to practice law in at least one U.S. jurisdiction (New Jersey or New York preferred) with active membership in good standing with the state bar association, and if not admitted to practice in New Jersey, eligible to obtain in-house licensure with the State of New Jersey
Experience:
- 3-5 years of post-graduate legal experience, ideally with exposure to real estate law at a reputable law firm.In-house experience not required.

- Strong attention to detail and organizational abilities, with a proven track record of managing complex legal documentation.
- Ability to work independently, flexibly, and collaboratively within a fast-paced environment.
