Job Summary:
The Corporate Paralegal plays a crucial role in supporting the legal and corporate functions of the organization. This position involves a wide range of responsibilities, including assisting in merger and acquisition transactions, forming companies, maintaining organized file systems, and ensuring compliance with legal requirements. The ideal candidate should have a strong understanding of corporate law, M&A processes, and the ability to manage and organize legal documents and computer files effectively.
Key Responsibilities:
M&A Support:
- Assist the legal team in conducting due diligence for merger and acquisition transactions.
- Draft, review, and organize legal documents related to M&A deals, such as agreements, contracts, and disclosure schedules.
- Maintain transaction checklists and track critical deadlines.
- Communicate with external parties, such as opposing counsel and clients, to coordinate document exchange and information requests.
Company Formation:
- Participate in the formation of new companies, including preparing and filing formation documents with the relevant government agencies.
- Draft corporate bylaws, operating agreements, and other organizational documents.
- Assist in obtaining necessary licenses and permits for newly formed entities.
Document Management:
- Establish and maintain organized physical and electronic file systems for legal documents and contracts.
- Implement best practices for document retention, version control, and data security.
- Retrieve and provide relevant documents in response to legal inquiries or regulatory requests.
Compliance and Record-Keeping:
- Ensure compliance with state and federal regulations regarding corporate governance and M&A transactions.
- Keep accurate records of corporate actions, such as board meetings, shareholder resolutions, and corporate filings.
- Monitor changes in legal requirements and update corporate records accordingly.
Research and Analysis:
- Conduct legal research to support attorneys in case law, regulations, and legal precedents relevant to corporate matters.
- Summarize legal findings and prepare reports for attorneys and clients.
Transactional Support:
- Assist in the management of the overall transaction process, including document tracking and coordination with internal and external stakeholders.
- Prepare closing binders and assist with post-closing matters.
Qualifications:
- Bachelor's degree or an associate degree in paralegal studies or a related field.
- Previous experience as a corporate paralegal with a focus on M&A transactions.
- Strong knowledge of corporate law, including the formation of companies and mergers and acquisitions.
- Proficiency in document management and file organization.
- Excellent research, writing, and analytical skills.
- Detail-oriented and highly organized.
- Ability to work independently and collaboratively within a legal team.
- Familiarity with legal research tools and software.
- Strong communication and interpersonal skills.
- Knowledge of basic transactional structures and legal terminology.
