Position Summary:
We are seeking a paralegal with over 5 years of extensive experience in Corporate and Business Transactions, with a strong emphasis in securities law compliance.
Preferred Experience:
- Expertise in corporate formation (e.g., partnerships, corporations, LLCs), including foreign qualifications, mergers, and FinCEN filings.
- Maintenance and drafting of corporate records, including Board minutes, consents, and corporate minutes.
- Strong background in transactional work, reviewing, drafting, organizing agreements and legal documents, and completion of BOI forms.
- Experience in transaction closings and preparing closing certificates and documents.
- Involvement in mergers and acquisitions, corporate contract administration, and corporate financing transactions.
- Experience with private financing (e.g., venture capital, private equity, angel investors) and real estate transactions (e.g., commercial leases, investment structures).
- Stock and cap table building and management, including Excel, Carta, or Shareworks.
- Knowledge of securities laws like the ’33 and ’34 Act and ICA, and preparation of and experience in filings such as Form C, D, Blue Sky, and EDGAR.
- Proficiency in contract lifecycle management tools (Ironclad), CRM tools (Salesforce), and e-signature platforms (DocuSign), is helpful.
- Public sector contracting, SaaS contract terms, intellectual property, and IT licensing experience.
- Skilled in UCC searches, document reviews, legal research and cite checking, electronic filings, and due diligence.
- High-level understanding of GDPR, CCPA, and privacy regulations, as well as blockchain product regulatory compliance and AI law familiarity.
- Interaction with clients, courts, agencies, and law firms for information gathering.

- Bachelor’s degree and/or 5+ years of applicable experience
- Paralegal certificate is desired
Business Hours:
This is a hybrid role, classified as non-exempt and eligible for overtime pay. Standard office hour requirements are 40 hours per week, and we are open from 9-5 M-Th, and 9-1 Fri. Flexibility to work extended hours is required during high-demand periods, urgent transactions, or to accommodate communication across time zones.
