The Corporate Paralegal works closely with the Aimbridge Hospitality Legal Department in a wide variety of corporate and hotel level legal issues and department matters.
Qualifications
- Bachelor’s degree (B.A.) and at least three years of previous work experience as a paralegal in a corporate legal department.
- Experience with contract management software and databases used for document management legal case law and statutory research.
- Paralegal certification preferred.
- Texas Notary preferred.
- Proficient in Microsoft Office Suite and in particular Word Excel and PowerPoint.
- Excellent oral and written communication skills.
- Ability to build collaborative relationships.
- Superb attention to detail as well as excellent organizational and multi-tasking skills.
- Ability to handle confidential and sensitive matters.
Job Responsibilities
- Manage and oversee the coordination of execution and filings of documents and contracts for the Legal and other departments.
- Maintain inventory and track company governance documents material contracts transaction logs and associated files.
- Facilitating legal document requests from internal and external stakeholders.
- Provide support for subsidiary and entity formation management and dissolution including maintaining the legal entity structure chart and legal entity director and officer lists.
- Coordinate engagement of outside counsel to represent the company on Hotel Management Agreement (HMA) negotiations and review of other related documents SNDAs Brand Manager Acknowledgements.
- Coordinate with other departments on HMA-related matters.
- Manage the database(s) and information related to HMAs.
- Assist with certain legal trackers.
- Assist with coordination and accuracy of certain forms schedules and lists related to business development and legal related agreements.
- Manage Hotel Legal onboarding and disposition process including calculating terminations fees and monitor termination dates of hotel HMAs.
- Confirm track and review potential area of protection clauses in current HMAs.
- Provide numerical and contractual analysis of contracts and data
- Assist in reviewing outside counsel invoices and ensure proper account coding.
- Draft compile and track litigation hold notices in coordination with the Aimbridge Hospitality IT Department to ensure the retention of relevant information.
- Analyze and resolve property and corporate legal issues with other members of the Legal Department pertaining to sales contracts vendor contracts contract disputes and guest complaints.
- Review subpoenas and other requests for records and coordinates response.
- Organize send and receive mail and correspondence for the Legal Department.
