We are currently partnered with an Elite Investment Firm who is looking to add a senior fund formation counsel to help with the growth of their business. This individual will report to the General Counsel and be part of a close-knit legal team that supports all areas of the firm’s diversified platform of strategies. You will be responsible for supporting the structuring, formation, and ongoing legal and operational needs for many of the firm’s investment vehicles. This is an excellent chance to be part of a collaborative team and receive mentorship internally, while also contributing to a lean environment with an entrepreneurial attitude that is in a huge growth period.
Responsibilities:
- Provide legal expertise to senior management and external counsel on all fund structuring matters
- Assist with the structuring, negotiating and overseeing the formation of closed-and open-end investment funds and separately managed accounts, including preparation of private placement memoranda, term sheets, limited partnership agreements, investment management agreements, subscription documents, side letters and other related documents
- Support the funds investment process as it relates to fund matters and provide assistance with particular fund investments.
Requirements:
- JD from a top tier Law school
- 7-10 years of experience within private practice or in-house environment at an established Alternative Investment Manager
- Experience with private funds, including open-end funds, closed-end funds, & SMA’S
- Experienced with Credit & Private Equity funds a plus
