A well-established organization is seeking a skilled Mergers and Acquisitions (M&A) Transactional Paralegal to support their legal team with corporate transactions. The ideal candidate will have strong organizational capabilities, attention to detail, and experience in managing documentation, regulatory compliance, and due diligence throughout the M&A process.
Key Responsibilities:
- Provide comprehensive support to attorneys in the preparation, review, and execution of M&A documents, including confidentiality agreements, purchase agreements, and closing documents.
- Conduct due diligence on potential transactions by reviewing corporate records, contracts, financials, and public filings of target companies.
- Assist with the management of closing checklists, document tracking, and ensuring completion of all closing conditions.
- Coordinate the execution and delivery of closing documents, and manage post-closing matters.
- Organize and maintain electronic and physical transactional files, including managing virtual data rooms and ensuring secure handling of sensitive documents.
- Conduct UCC, lien, and other searches to support the legal team in evaluating potential risks.
- Prepare and file required corporate documents with state and federal agencies.
- Serve as a key liaison between internal teams, external clients, and regulatory bodies, ensuring smooth and timely communication during transactions.
- Assist with general corporate governance matters and other paralegal duties as needed.
Qualifications:
- 3-5 years of experience as a corporate or M&A paralegal, with demonstrated experience in supporting transactional work.
- Expertise in corporate governance and transactional processes, particularly in the context of mergers and acquisitions.
- Strong organizational and time management skills with the ability to prioritize tasks in a fast-paced environment.
- Excellent written and verbal communication skills.
- Proficiency in document management systems, as well as Microsoft Office (Word, Excel, PowerPoint).
- Bachelor's degree and/or Paralegal Certificate from an ABA-approved program preferred.
Preferred Qualifications:
- Experience working in a law firm or corporate legal department handling mergers and acquisitions.
- Familiarity with legal research tools and deal-specific platforms like data rooms.
