An exciting opportunity has arisen for a seasoned General Counsel to join a leading organisation specialising in real estate investment and development. The company focuses on revitalising underperforming assets in urban areas, enhancing community value, and improving local infrastructure. This role offers the chance to provide legal support for a publicly traded REIT that specialises in multi-family properties and creative financing solutions.
What you'll do:
- Ensure 1934 Act Compliance by drafting, reviewing, and coordinating with accounting, external auditors, and external counsel on 34 Act filings
- Oversee 1940 Act Compliance by managing filings required for investment companies registered under the 1940 Act
- Handle Nasdaq Filings and consult on corporate-level transactions
- Provide governance support to the Board of Directors, including setting meeting agendas, drafting materials, and reviewing Board policies
- Work closely with internal departments on public offerings, review marketing materials, negotiate platform agreements, and address regulatory comments from SEC, FINRA, and Compliance
What you bring:
- Juris Doctor (JD) degree from an accredited law school is required
- Minimum of 8 years of legal experience with a focus on advising publicly traded companies and registered investment companies is essential
- Knowledge about securities regulations including the 1933 Act, 1934 Act, and 1940 Act is necessary
- Proven experience working with registered investment companies or interval funds is desirable
- Familiarity with Maryland REITs would be advantageous
- Strong communication and negotiation skills are needed
