Role Overview
The Attorney will be responsible for assisting General Counsel in providing continuing counsel and guidance on various legal issues and topics including legal implications of all such matters, as well as drafting policies, negotiating and writing internal and external contracts. The ability to digest, understand and write contract language in a fast paced and ever-changing environment is essential to this position. Critical thinking, attention to detail, prioritization, and ability to manage multiple projects simultaneously with little or no supervision while embodying the Patch Values is a necessity in this role.
ESSENTIAL FUNCTIONS (Responsibilities)
1. Infuses the Patch Values into your work ethic, every day and every interaction.
2. Draft and review various legal agreements and policies.
3. Advise stakeholders on a variety of legal subjects and provide explanations and interpretations of legal and regulatory language.
4. Advise of legal risk and business terms of applicable contracts and relationships.
5. Identify, research and document legal issues/risks that impact the company, including changing regulations, statutes and/or case law.
6. Identify and implement proactive solutions to eliminate or mitigate legal risk.
7. Develop and maintain corporate policies, procedures and programs as needed.
8. Identify merits and risks of any legal action threatened or filed against the company, work with the General Counsel to develop a strategy and/or defense of such actions and advise of any applicable settlements of such actions.
9. Oversee, direct, manage and delegate multiple tasks/projects and deadlines as assigned.
10. Initiate, manage, and perform pre-litigation work to protect legal rights and avoid additional risk.
11. Monitor pricing, thresholds and minimums and seek executive approval as necessary for deviations.
12. Answer, explain and interpret contract-specific questions and concerns for other teams within the company.
13. Manage, maintain and audit contract and internal systems utilized by the legal department.
14. Assist with contractual data verification, process establishment and tracking.
15. Create in-depth legal relationship metrics and analyses.
16. Provide leadership in strengthening internal communications with staff at all levels throughout the organization.
17. Create and promote a positive and supportive work environment.
18. Other duties as assigned.
POSITION REQUIREMENTS (Qualifications)
1. Juris Doctorate from an accredited law school.
2. Experience drafting and negotiating contracts with vendors and clients.
3. Experience with drafting, implementing, and managing compliance policies.
4. Admitted to Texas State Bar.
5. Excellent communication and interpersonal skills.
6. Exhibits technical and operational mastery of legal and contract issues.
7. Demonstrates excellence in a discipline and understands the implications of decisions and actions on segments of the organization outside one's immediate area.
8. Mathematical and analytical skills.
9. Knowledge of workflow management systems (Conga & Salesforce) a plus.
10. Ability to understand and interpret daily business requirements.
11. Must be legally allowed to work in the U.S.

13. Required to work in the company’s HQ location for a minimum of three (3) days a week. Hybrid, work-from-home schedule(s) must be approved by Supervisor.

1. Sitting for extended periods of time; approximately 5-6 hours per day.
2. Simultaneous use of hand, wrist, and fingers.
3. Daily operation of standard office equipment.
4. Frequent use of oral communication to perform work.
5. Lifts and moves 7-10 pounds occasionally.
