Sherman & Howard is seeking a corporate associate with 5+ years of experience to join our Denver office.
Summary:
Sherman & Howard’s corporate team helps public and privately held companies operate, grow their businesses, and gain a competitive advantage. Our corporate attorneys are relied upon to negotiate, structure, and document a broad range of commercial transactional agreements. Attorneys advise and assist clients on the wide range of corporate compliance and governance issues they face – from day-to-day practices and policies to issues in the context of mergers, acquisitions, hostile takeovers, recapitalizations, corporate restructurings, and cybersecurity issues.
Responsibilities:
- Draft and negotiate commercial agreements.
- Draft and negotiate mergers & acquisitions and related agreements.
- Manage significant portions of complex projects.
- Work directly with clients on substantial transactions.
- Coordinate with in-house counsel, firm colleagues, and other professionals to address day-to-day corporate matters and to advance complex transactions.
- Support deal teams.
- Continue to develop skills to counsel clients on a broad range of corporate matters.
Minimum Qualifications:
- J.D. from an ABA accredited school.
- Admitted to practice in Colorado or able to be waived in.
- At least 5 years of general corporate and/or mergers and acquisitions experience.
- Strong work ethic, entrepreneurial attitude, high level of attention to detail, excellent oral and written communication, and exemplary client service skills.

Sherman & Howard offers competitive compensation and a comprehensive benefit package, including medical, dental, vision, life, long term disability, flexible spending, 401K, Paid Time Off, paid holidays, bonus and more. The salary range for this position is $195,000 - $235,000/year. Actual compensation offer to candidate may vary from posted information based on work experience, education, and/or skill level.
