Mawson Infrastructure Group is seeking an experienced Senior Litigation Corporate Counsel (must be licensed in at least PA, preferable if licensed in both PA and NY), to join our fast-paced legal team. The role will play a vital role in providing strategic legal guidance across various corporate matters requiring a deep understanding of litigation and commercial law.
Reporting directly to the General Counsel, the Senior Litigation Corporate Counsel’s primary function will be to lead litigation cases and commercial law matters while also collaborating closely with internal stakeholders, executives, management teams, and other legal professionals to navigate complex legal issues and drive business objectives forward.
We're looking for someone who has high levels of integrity and who can apply leadership and influencing skills when required. You will need a strong analytical mind, an eye for details and the flexibility to adapt to rapidly changing priorities.
What will you own?
- Litigation: Manage all aspects of litigation and dispute resolution matters including case assessment, strategy development, discover, motion practice, settlement negotiations, and trial preparation.
- Contract Drafting and Review: Draft, review, and negotiate a wide range of contracts and agreements, including vendor contracts, partnership agreements, and service agreements.
- Mergers and Acquisitions: Assist in mergers, acquisitions, and strategic partnerships by conducting due diligence, drafting transaction documents, and managing regulatory approvals.
- Regulatory Compliance: Stay abreast of evolving regulatory developments in the cryptocurrency industry and proactively advise the company on compliance measures.
- SEC compliance: Including the preparation and filing of SEC documents and statements, including the company's proxy statement, 10-Qs, 10-Ks, 8-Ks, earnings materials, and other investor and shareholder presentations.
- Risk Management: Identify legal risks and develop strategies to mitigate them, providing guidance on risk management policies and procedures.
- Intellectual Property: Protect the company's intellectual property rights by overseeing trademark, copyright, and patent matters.
- Corporate Strategy: Provide legal input and support for strategic initiatives, corporate restructuring, and expansion plans.
- Corporate Governance: Advise on corporate governance matters, including board meetings, shareholder relations, and regulatory filings.
- Training and Education: Conduct training sessions and workshops to educate internal stakeholders on legal best practices, compliance and safety requirements, and emerging legal trends in the technology industry.
What you have:
- Juris Doctor (JD) degree from an accredited US law school required.
- At least admitted to the bar of PA, and preferably admission to the bar of PA and NY, but does not necessarily needs to be located in those locations.
- At least 6+ years litigation experience across multiple subject areas, including courtroom and disposition. experience
- At least 6+ years of experience practicing corporate law at a publicly Iisted company in-house or at a mid to Iarge sized Iaw firm preferably with a focus on litigation, commercial law or corporate securities law.
- Experience managing and successfully resolving strategic litigation.
- Strong understanding of corporate governance principles and regulatory frameworks.
- Experience drafting and negotiating complex commercial contracts, disputes, and litigation.
- Strong negotiation skills
- Familiarity with technology related laws, regulations, and industry standards is highly desirable.
- Excellent analytical, problem-solving, and communication skills.
- Ability to work independently and collaboratively in a fast-paced, dynamic environment.
- Attention to detail and ability to manage multiple priorities effectively.
