Position Summary
Luxfer Holdings PLC is seeking a high performance legal professional to lead our in-house legal team, where your counsel will add value to commercial, corporate, and operational decisions in every facet of our global business. As the leader of a small and collaborative legal team, you will liaise directly with Business Unit Leaders, as well as Finance, Operations, Health & Safety, HR, and other internal and external groups, to mitigate risk, drive compliance, promote commercial excellence, and uphold high standards of corporate governance. Primary Responsibilities
Advisory: Provide sound, pragmatic, and timely legal advice to the Board of Directors, Executive Leadership Team, and senior management on a wide range of legal matters affecting the Company. Offer proactive and creative solutions to manage legal issues across broad practice areas in compliance with all applicable laws.
M&A:Oversee and provide in-house legal support on the Company’s merger, acquisition, and divestment transactions.
Contracts: Negotiate, draft, administer, advise on, and interpret a broad variety of material and strategic contracts.
Corporate Governance: Support and provide guidance on corporate governance matters, including drafting and implementing corporate policies and procedures and preparing regulatory reports required under U.S. and U.K. law.
Regulatory Compliance: Monitor and oversee the Company’s compliance with all applicable laws, including the compliance of business operations in four countries. Ensure the Company’s compliance with regulatory reporting requirements and prepare appropriate filings, including SEC filings such as Section 16 reports and proxy statements.
Litigation Management: Oversee legal disputes and coordinate with internal resources and external legal counsel as necessary to manage such matters.
Employee Relations:Provide guidance on employment-related matters, including contracts, policies, disputes, executive compensation, and employee benefit plans.
Intellectual Property: Oversee management of robust intellectual property portfolio, including patent and trademark registrations and licensing arrangements.
Required Skills and Abilities
Leadership: Desire and ability to develop and lead a team to deliver high performance legal services in a demanding environment.
Broad Legal Knowledge: Strong foundation in legal principles across various practices areas, including corporate, transactional, employment, intellectual property, and securities law.
Business Acumen: Understanding of the Company’s business objectives and ability to align legal strategies with overall business goals. Familiarity with the manufacturing and industrial sector preferred.
Global Perspective: Understanding of legal nuances across different jurisdictions and ability to manage legal issues on a global scale.
Regulatory Compliance:Strong knowledge of relevant laws and regulations applicable to the Company’s operations and industry, ensuring compliance with legal requirements.
Risk Management: Proficiency in assessing and managing legal risks, identifying potential challenges, and developing strategies to proactively mitigate risk.
Commercial Negotiation and Contract Drafting: Ability to negotiate effectively and draft contracts that protect the Company’s interests while facilitating business transactions.
Financial Literacy: Understanding of financial principles and ability to assess the financial implications of legal decisions and strategies.
Initiative and Autonomy: Confidence to work autonomously, prioritize work independently, and manage varied workload in a fast-paced environment. Positive attitude with a passion for learning and a creative approach to problem solving.
Personal Development:Commitment and drive to quickly assimilate into the business, deliver on objectives, and develop as a potential future member of the Luxfer Executive Leadership Team.
Travel: Ability to travel internationally and/or domestically for up to 8 weeks per year
Qualifications and Experience
- Juris Doctorate from an accredited law school
- Current bar registration in good standing
- Minimum of 5-10 years of post-admission experience in an in-house legal department or relevant practice group (e.g., corporate, transactional, M&A, capital markets, securities, or similar practice groups)
- Familiarity with U.K. law an advantage, and a willingness to learn is essential
- Previous M&A experience and strong contract and report drafting abilities required
- Previous experience with capital markets, including listed company governance and compliance, preferred, although an ability to quickly learn with limited internal guidance will be considered
- Previous exposure to multi-jurisdictional and international regulatory frameworks preferred
