Job Summary: The Associate General Counsel is a key member of the legal team responsible for providing strategic legal advice and support across the organization. This individual will work closely with the General Counsel and Deputy General Counsels to draft and negotiate agreements with enterprise customers for money transmission and payment services. The Associate General Counsel will also collaborate with cross-functional teams to support the company's business objectives while protecting its legal interests.
Responsibilities:
Contracts & Transactions:
- Draft, structure, review, and negotiate a wide variety of complex commercial agreements, including M&A transactions, services agreements, joint ventures, partnerships, vendor contracts and other corporate agreements.
- Advise on deal structures and provide risk assessments on proposed transactions.
- Advise internal stakeholders on the legal risks associated with the implementation and use of negotiated payment related services.
- Collaborate with cross-functional teams to solve regulatory and novel issues related to the payments industry.
- Advise on contract initiatives arising from negotiated commercial transactions.
- Create and/or improve Priority’s contract processes and policies.
MINIMUM REQUIREMENTS:
- Juris Doctor (JD) from an accredited law school and active bar membership.
- Minimum of 5 years of experience in corporate law, with a preference for experience in a major law firm and/or in-house counsel roles.
- Proven experience in managing legal matters related to commercial contracts and mergers and acquisitions.
- Strong drafting, strategic thinking, and decision-making skills.
- Excellent communication, negotiation, and interpersonal skills.
- Ability to work in a fast-paced environment and handle multiple priorities.
PREFERRED:
- Experience in payments or banking or working within a highly regulated industry.
- Strong project management skills with attention to detail.
Compensation and Benefits:
- Compensation range: $175,000 - $200,000
