E Ink Corporation (the Company) is seeking a highly motivated and results-oriented Assistant General Counsel with exceptional skills and experience in commercial transactions and contract law to join its growing and collegial Legal Department. Reporting to the General Counsel and Head of Legal for the Global E Ink Group, the Assistant General Counsel will have significant interaction with senior management and will provide legal support on various business ventures, mergers and acquisitions, and enterprise risk management. The Assistant General Counsel will have responsibility for representing the Company and other members of the Global E Ink Group in a broad variety of transactional matters including drafting and negotiation of contracts, advising on contract enforcement and disputes, providing contract risk mitigation strategies and contract maintenance and administration.
What you will do:
- Draft and support negotiation of contracts and agreements with global channel partners, downstream customers and other third parties, including intellectual property agreements, master agreements governing the sale and supply of commercial and development-stage products
- Act as special counsel to the Global E Ink Group as needed with respect to transactional matters involving U.S. laws and regulations
- Advise senior management on contract enforcement, disputes, terminations and transitions
- Counsel senior management on the legal implications of Company activities, strategic plans, policies, procedures, and legal problems so that the right balance between protecting the Company and realizing new opportunities is achieved
- Coordinate and work with headquarters on Global E Ink Group legal policies and activities
- Actively participate in development, training, and implementation of policies and procedures to accommodate legal and regulatory requirements, corporate policies, and the needs of the business
- Support merger and acquisition and joint venture activities
- Establish and maintain good working relationships with internal and external customers
- Assist with special projects as needed.
Desired Skills and Experience
- Juris Doctor Degree
- Member of the Massachusetts bar
- Minimum seven years of legal experience in commercial transactions (including cross-border transactions) and contract law (including the Uniform Commercial Code) with a large law firm or a combination of practice in a large law firm and in-house practice
- Strategic thinker with strong business acumen and focused on giving practical client advice on legal risks within a business context
- Strong technical lawyer with excellent written and oral communication skills
- Self-starter and ability to work quickly and efficiently, well organized and able to manage numerous projects under deadline pressure
- Strong interpersonal and negotiation skills
- Team player with the ability to work well with others at all levels of the organization.
