We are looking for an experienced Senior Corporate Paralegal for our Detroit Office. In addition to our Detroit Office, we have locations in Bloomfield Hills, Ann Arbor, Kalamazoo, Grand Rapids, Lansing, Chicago, IL and Washington D.C. The Senior Corporate Paralegal is responsible for providing legal support on a variety of tasks, focusing on corporate matters, including, but not limited to: factual and legal research and analysis, drafting and editing routine correspondence, as well as routine legal documents, entity formation and corporate governance documents, compiling information, handling document review projects, and preparing other documentation, statistics, charts, or graphs, as needed.
RESPONSIBILITIES
- Performs an extensive amount of transactional work, such as reviewing, drafting, organizing, and summarizing agreements, resolutions, and other legal documents, as required by attorneys.
- Performs UCC searches and filings, document reviews and productions, , searches public records, performs electronic filing with agencies, electronic searches of public records, performs manual legal research and cite checking and manages due diligence.
- Assists with preparation and filing of securities filings, including Form D, Blue Sky and EDGAR filings.
- Assists with mergers and acquisition transactions, , and corporate contract administration; maintenance of corporate minute books; and coordination of corporate financing transactions.
- Prepares and files formation/incorporation documents, foreign qualifications, mergers, conversions, and IRS filings, , maintains corporate records, and assists in drafting corporate minutes.
- Assures that files, documents, closing books, minute books, and other information are organized appropriately.
- Interacts with various outside entities, including but not limited to clients, governmental agencies and officials, courts, corporations, and other law firms to gather information.
- Demonstrates strong work ethic and a commitment to professionalism.
- Handles a high volume of work with minimal supervision.
QUALIFICATIONS
- Associates and/or Bachelor's degree in any field preferred; at least 8 years of corporate paralegal experience required.
- Relevant expertise in a legal or corporate environment helpful but not required.
- Must possess superior digital proficiency with MS Office software with a commitment to technological growth.
- Must multitask and prioritize a demanding workflow in a deadline driven environment.
- Must effectively communicate with others by obtaining and sharing information responsibly and in a clear, concise, and timely manner.
- Must exhibit personal accountability, attentiveness to detail and a disciplined and conscientious approach to completing assignments.
- Must apply critical thinking and sound judgment to solve problems.
