We are looking for an experienced, dynamic, and proactive Corporate Lawyer to join our team. The ideal candidate will be responsible for all legal matters of the company.
JOB SUMMARY:
The Corporate Lawyer will have primary responsibility for all day-to-day legal matters at Aerwave (the “Company”) and will be a trusted advisor to the CEO and executive leadership team. The Corporate Lawyer will provide legal advice on strategic and operational matters and advise the leadership team on issues affecting the Company.
This will be the first, full-time legal role at the Company. The Corporate Lawyer will manage all legal matters including commercial contracts, mergers and acquisitions, company-wide compliance, real estate, product liability, employment matters, litigation, and other relevant business and legal issues of the Company. RESPONSIBILITIES/ESSENTIAL FUNCTIONS:
- Negotiate and draft a wide variety of technology/telecom-related commercial agreements (including multi-jurisdictional transactions, hardware and software sales and licensing, and distribution agreements), as well as a variety of vendor contracts.
- Manage a diverse variety of legal matters arising out of the Company’s operations, including but not limited to telecommunication / construction contracts with property owners, general commercial contracts, M&A and financings, litigation, employment law counseling, training and claim management, intellectual property, regulatory, and legal support of compliance and risk management matters.
- Manage outside counsel in the completion of legal work in a cost-effective manner.
- Provide counseling and guidance on appropriate risk allocation for strategic and routine business transactions.
- Proactively and cost effectively manage litigation and other legal disputes.
- Use technology to aid in reporting and streamline more routine processes and procedures such as e-billing, budget management, case and deal reporting.
- Conduct legal analysis and provide counsel on laws, rules, regulations and policies.
- Consistently guard against and provide timely evaluation of potential risks in contractual, regulatory, compliance and other legal areas.
- Monitor the Company’s compliance with federal and state regulatory requirements and recommend to executive leadership team changes or additions to compliance activities.
- Ensure the Company remains compliant in all aspects of its business. It is important to understand the governing rules and regulations and have positive relationships with regulators.
- Develop and maintain effective controls designed to monitor the effectiveness of the Company’s compliance program. Ensure adequate review of the appropriateness of the compliance system and procedures and implement necessary remediation for any identified deficiencies.
- Assist in all legal and regulatory matters, including coordination with coalitions.
REQUIRED QUALIFICATIONS:
Education/Experience and Qualifications:
- Juris Doctorate required from an accredited law school.
- 5+ years of legal experience of progressive law firm and/or in-house legal experience in a complex, dynamic and fast-paced company (preferably with at least 2 years of in-house counsel experience at a telecommunications/technology company).
- Experience negotiating and drafting telecom agreements, including software and hardware commercial contracts and license agreements, as well as a variety of vendor contracts and other types of commercial agreements.
- Registered and in good standing with at least one State Bar and eligible to practice law in the State of Texas.
- Excellent organizational skills, ability to manage multiple projects at once, follow through and meet deadlines.
- Strong written and oral communication skills.
- Strong analytical and negotiation skills.
- Experience advising startups or growth-stage companies is a plus.
- Ability to balance legal risks with business objectives and work cross-functionally.
- Experience working with telecommunications, WiFi and multi-family communities.
- Ability to travel up to 25% of the time throughout the United States.
- Proficiency in the use of a computer, online legal resources and tools (including AI tools) and business software applications (e.g., the Microsoft Office products).
