Entrusted Advisors is actively seeking a talented technology transactions attorney in a full-time 6+ month secondment (project-based) hybrid engagement in Houston with an in-house legal team. The ideal candidate will provide legal counsel and guidance on all aspects of IT-related transactions, with a focus on SaaS subscriptions and the conversion of on-premise systems to cloud services. This role will require a deep understanding of IT software and services (including maintenance/support and consulting/development) and the ability to offer actionable and practical advice to internal business partners. Successful candidates will have the following:
- 8+ years of experience negotiating and drafting technology agreements, with expertise in software licensing and IT-related transactions.
- 8+ years of experience providing legal support for IT-related transactions, with an emphasis on SaaS and cloud services conversions.
- Strong understanding of the software and IT services market, with the ability to identify risks and propose solutions.
- Experience advising a global procurement team to ensure transactions align with business objectives and legal standards.
- Experience offering pragmatic counseling and identify risks in IT transactions, focusing on software and services agreements.
- Experience negotiating IP and privacy issues related to software preferred.
- Proven experience in a reputable law firm, large corporation, or a combination of both, advising on IT matters.
- Demonstrated success in supporting business clients and achieving strategic initiatives as part of an internal corporate legal team.
- Superior communication and drafting skills with high attention to detail.
- Possess a solution-oriented, collaborative approach to legal work.
- Must be licensed to practice law in good standing in at least one state.
- Must reside in the Greater Houston area and be available to work on-site 3 days a week in Houston.
