Our corporate and real estate transactions team is currently looking for an attorney with 2-10 years of experience to join our growing team, with a flexible billable hour expectation. The corporate and real estate transaction team at Conlin, McKenney & Philbrick, P.C. collaborates to deliver strategic solutions that drive success in the ever-evolving business landscape for our clients.
Responsibilities & Experience:
1) Transactional Expertise:
· Assist start-ups with the formation of various legal entities, including LLCs and corporations, as well as advising them on best legal practices.
· Contribute to a variety of corporate transactions, including mergers and acquisitions, joint ventures, private offerings, succession planning, and corporate restructuring.
· Provide legal counsel on real estate transactions, including acquisitions, dispositions, and financing.
2) Due Diligence:
· Conduct thorough due diligence in support of corporate and real estate transactions, including financial, risk, environmental, and title review.
· Identify and assess legal risks associated with such transactions and provide strategic advice to the clients to mitigate such risks.
· Experience conducting due diligence in a private equity environment a plus.
3) Contract Drafting and Negotiation:
· Draft, review, and negotiate a wide range of commercial agreements, including sales agreements, purchase agreements, independent contractor agreements, endorsement agreements, stock restrictions agreements, and buy-sell agreements.
· Draft, review, and negotiate commercial real property and personal property leases.
· Work closely with clients and internal teams to structure and negotiate complex business transactions common to small-market and mid-market business portfolios.
4) Legal Research and Analysis:
· Stay up to date with legal developments in corporate and real estate law.
· Conduct legal research and analysis to provide accurate and timely advice to clients.
Qualifications:
1) 2-10 years of experience in corporate and real estate transactions preferably with a reputable law firm or in-house legal department.
2) Admission to the Michigan bar or the ability to waive in without examination.
3) Strong transactional experience, with a focus on corporate and real estate transactions.
4) Excellent drafting and negotiation skills.
5) Experience communicating with clients directly and independently.
6) Ability to work independently as well as part of a team.
7) This position is in-person/hybrid. Candidates requesting fully remote positions will not be considered.
8) Qualifications which are a plus, but not required:
· Ties to the Ann Arbor or Metro Detroit area.
· Experience with private equity.
· Experience with commercial loan documentation, including the real estate aspects of such loans.
· Background in business or real estate.
