SUMMARY
We are seeking an experienced Manager to drive sell side processes for our portfolio companies. This role involves collaborating closely with Tide Rock’s executive & deal teams as well as portfolio company CEOs to prepare businesses for sale and successful transaction execution. This role requires a strong analytical mindset, attention to detail, and the ability to collaborate effectively with a cross-functional team.
This is a full-time position located at our headquarters in Solana Beach, CA
POSITION AND SCOPE
• Exit Strategy Development: Design and implement comprehensive exit strategies tailored to each portfolio company, aligning with market conditions and investor expectations. Develop and own relationships with sell side bankers. Coordinate sell side banker selection processes and assist in negotiating engagement terms.
•Transaction Management: Develop and manage sell side plans for each portfolio company in collaboration with Tide Rock’s Executive Leadership Team. Oversee end to end deal execution including all aspects of the sale process including but not limited to negotiations, deal structuring, and coordination with legal and financial advisors to ensure smooth execution.
•Due Diligence Oversight: Lead the due diligence process, ensuring all necessary documentation and information are prepared and presented effectively to prospective buyers. Conduct industry research, market analysis, and competitor benchmarking to inform strategic recommendations. Conduct due diligence, financial modeling, and valuation analysis to assess the viability and potential ROI of exits. Research industry dynamics within industrial manufacturing, value-added distribution, and professional services sectors.
•Market Analysis: Collaborate with Corp Dev buyside teams to develop theses on attractive industries and segments to target on the buyside. Conduct thorough market research to identify potential buyers, assess industry trends, and determine optimal timing for exits of Tide Rock Holdings’ portfolio companies. Develop an effective process for the identification, qualifying, and tracking of the prospects.
•Collaboration with Leadership: Partner with portfolio company CEOs, portfolio company executive teams, and Tide Rock leadership to enhance business operations, financial performance, and market positioning in preparation for sale. Manage sell side processes in collaboration with portfolio company boards and Corp Dev team.
•Value Maximization: Identify and implement initiatives to enhance company value prior to sale, such as operational improvements, strategic partnerships, or market expansion. Assist with ongoing monitoring and ad hoc strategic projects for portfolio companies. Support the 60-to-90-day post-transaction integration of new acquisitions
•Stakeholder Communication: Maintain clear and consistent communication with internal stakeholders, investors, and portfolio company leadership throughout the exit process. Develop detailed industry materials including market size, growth prospects, demand drivers, key competitors, etc. Must be able to prepare reports illustrating data graphically and translating complex processes and trends into written text. Prepare memos and other approval materials for Tide Rock’s Investors. Collect and organize portfolio company materials to support sell side activities.
SKILLS & EXPERIENCE REQUIRED
•Minimum of 3 years of experience in investment banking, private equity or corporate development, with a proven track record of successfully managing company exits.
•Ideally an Associate at an investment bank looking to move internally into a private equity firm
•MBA or relevant advanced degree preferred.
•Strong understanding of financial modeling, valuation techniques, and M&A processes.
•Exceptional leadership and interpersonal skills, with the ability to build effective relationships with portfolio company executives and potential buyers.
•Excellent negotiating transactions.
