Responsibilities:
- Conduct comprehensive legal research on relevant corporate statutes, regulations, and case law.
- Draft and finalize sophisticated legal documents, including stock purchase agreements, merger agreements, financing documents, and corporate resolutions.
- Assist attorneys with corporate transactions, such as mergers, acquisitions, divestitures, and securities offerings.
- Advise on and ensure compliance with corporate governance best practices and legal requirements.
- Assist with entity formation and management, including filings with the Texas Secretary of State and other regulatory bodies.
- Manage and maintain corporate records electronically and in hard copy, ensuring exceptional organization and attention to detail.
- Facilitate communication with clients, board members, and other professionals involved in transactions.
- Perform other legal and administrative tasks as assigned.
- Maintain a high level of accuracy and efficiency in all work performed.
Qualifications:
- Associate's degree in Paralegal Studies or a related field, and a minimum of 3 years of experience as a corporate paralegal.
- Proven track record of success in legal research, writing, and transaction support.
- In-depth understanding of corporate law principles, including mergers and acquisitions, securities regulation, and corporate governance.
- Experience drafting complex legal documents for corporate transactions.
- Proficient in Microsoft Office Suite (Word, Excel, PowerPoint).
- Experience with legal research databases a plus.
- Excellent organizational skills, with a meticulous eye for detail.
- Ability to manage multiple tasks effectively and meet deadlines in a fast-paced environment.
- Strong communication, interpersonal, and client service skills.
- Ability to work independently and take initiative, while also collaborating effectively with attorneys and other team members.
