The Role
As Legal Counsel, you will be integral to the company's strategic legal initiatives, providing expert advice on contractual matters while ensuring full compliance with relevant laws and regulations. Working closely with cross-functional teams, you will help mitigate risk, drive regulatory compliance, and protect the company’s legal interests. Your expertise in contract negotiation, management, and legal advisory will shape the organization’s contractual relationships across commercial and government sectors.
Key Responsibilities:
- Draft, negotiate, and manage a broad range of contracts including NDAs, license agreements, MSAs, SOWs, government contracts, purchase orders, and termination notices.
- Provide legal advice on contractual obligations and risks, ensuring compliance with all relevant regulatory frameworks, including FAR, DFAR, ITAR, and EAR.
- Support technology licensing, supplier administration, and production control matters, with a focus on intellectual property, procurement, and material management.
- Collaborate with the General Counsel and internal teams to optimize contract performance and reduce the company’s risk exposure.
- Manage contracts related to the sale of commercial items to government entities, including federal and international buyers.
- Navigate complex legal and regulatory landscapes, including international government acquisition regulations for the Canadian Space Agency, UK Space Agency, and European Space Agency.
Requirements:
- Juris Doctor (JD) degree and active membership in a state bar association.
- Minimum 5 years’ experience in drafting, negotiating, and managing contracts, or a combination of JD + minimum 2 years’ work experience.
- Strong understanding of various laws, including contract and intellectual property law, and compliance with regulations such as FAR, DFAR, ITAR, and EAR.
- Proven experience managing government and/or commercial contracts across various forms, including NDAs, MSAs, SOWs, and contract amendments.
- Extensive knowledge of one or more of the following: technology licensing, supplier administration, price/cost analysis, material management, or production control principles.
Desired Qualifications:
- Experience managing contracts related to the sale of commercial items to government entities, including federal and international buyers.
- Familiarity with international government acquisition regulations (e.g., Canadian Space Agency, UK Space Agency, European Space Agency).
- Experience in the space, technology, cybersecurity, SaaS, or emerging technology sectors, particularly involving U.S. federal or foreign governments.
