We are seeking a highly skilled and detail-oriented Corporate Paralegal to join an AMLaw 200 firm. This role is open to multiple offices, including Los Angeles, San Diego, and Orange County.
The ideal candidate will have significant experience in corporate law, excellent organizational skills, and the ability to manage multiple priorities in a fast-paced environment.
Key Responsibilities
- Corporate Transactions: Assist with mergers and acquisitions, entity formations, dissolutions, and restructurings.
- Entity Management: Draft and maintain corporate records, including board resolutions, meeting minutes, stock ledgers, and bylaws.
- Securities Compliance: Prepare and file securities documents with state and federal agencies (e.g., SEC, Blue Sky filings).
- Document Preparation: Draft and manage contracts, closing checklists, and other legal documentation for corporate transactions.
- Filings and Registrations: Handle state and federal filings, including business licenses, EIN applications, and corporate amendments.
- Due Diligence: Conduct research, organize data rooms, and review documents related to transactions and corporate governance.
- Communication and Coordination: Act as a liaison between internal teams, external counsel, clients, and regulatory agencies.
- Research & Analysis: Conduct legal research and compile findings relevant to corporate law, securities regulations, and emerging industry trends.
Qualifications
- Education: Bachelor’s degree and Paralegal Certificate from an ABA-approved program.
- Experience: 8+ years of experience as a corporate paralegal, ideally within a law firm setting.
- Technical Skills: Proficiency in MS Office (Word, Excel, PowerPoint) and legal research tools (Westlaw, LexisNexis). Familiarity with entity management platforms is a plus.
- Detail-Oriented: Strong organizational and project management skills, with the ability to handle multiple deadlines.
- Interpersonal Skills: Excellent written and verbal communication abilities, with experience working collaboratively across teams.
- Flexibility: Ability to work effectively with teams in multiple locations (LA, San Diego, Orange County) and willingness to travel between offices as needed.
