Position Overview
We are seeking an experienced Assistant General Counsel to join our Los Angeles office. The Assistant General Counsel will report directly to and collaborate closely with the Chief Legal Officer. The ideal candidate will have a minimum of 8 years of legal experience, with a strong preference for those with cross-border transaction expertise.
Responsibilities
- Legal Advisory: Provide legal counsel on a broad range of legal matters, including investments, compliance, and corporate governance.
- Transaction Management: Draft, review, and negotiate complex investment agreements, including private equity and structured finance transactions.
- Cross-Border Transactions: Oversee and manage cross-border transactions, ensuring compliance with international laws and regulations.
- Risk Management: Identify and mitigate legal risks associated with the firm’s operations and investments.
- Regulatory Compliance: Advise on regulatory requirements across multiple jurisdictions, ensuring compliance with international laws and regulations.
- Contract Management: Draft, review, and negotiate a wide range of legal documents, including investment agreements, NDAs, and service contracts.
- Corporate Governance: Oversee corporate governance matters and ensure compliance with statutory and regulatory obligations.
- External Counsel Coordination: Liaise with external legal advisors and regulatory bodies as needed.
- Collaboration: Work closely with internal teams and external counsel to facilitate business combinations and strategic investments.
- Policy Development: Assist in the development and implementation of internal policies and procedures.
- Stay Informed: Keep abreast of industry developments, legal trends, and changes in relevant laws.
Qualifications
- Education: Juris Doctor (JD) or equivalent law degree from an accredited institution.
- Licensing: Membership in at least one state bar is required.
- Experience: Minimum of 8 years of experience practicing law, preferably in a top-tier law firm or as a general counsel, with significant experience in commercial transactions. Prior in-house experience is a plus.
- Cross-Border Expertise: Experience with international transactions and cross-border legal issues is preferred.
- Industry Knowledge: Familiarity with private equity, structured finance, insurance, and investment transactions.
- Regulatory Expertise: Understanding of regulatory compliance.
