We are looking for a Corporate Transaction Attorney with 2-5+ years of experience in corporate law to handle a variety of transactional matters. The ideal candidate will have a strong background in drafting and negotiating contracts, conducting due diligence, and advising clients on corporate governance and compliance issues.
Key Responsibilities:
- Manage and oversee corporate transactions, including mergers, acquisitions, and joint ventures.
- Draft, review, and negotiate a wide range of corporate documents, including purchase agreements, shareholder agreements, and operating agreements.
- Conduct thorough due diligence and prepare reports on findings.
- Advise clients on corporate governance, compliance, and regulatory matters.
- Collaborate with clients to understand their business objectives and provide strategic legal advice.
- Stay updated on changes in corporate law and regulations to ensure compliance and best practices.
- Assist in business development efforts and maintain strong client relationships.
Qualifications:
- Juris Doctor (JD) from an accredited law school.
- Admission to the state bar in California.
