Job Purpose:
The Corporate Legal Counsel will act as the legal cornerstone of Kolon TissueGene, Inc., ensuring the company's compliance with all applicable laws while offering strategic legal guidance to support business development and operational initiatives. As a vital member of the management team, you will collaborate closely with legal, clinical, and other stakeholders in our Rockville office, as well as engage with our Korean branch and our licensee partner, Kolon Life Science.
Duties and Responsibilities:
Under the direction of the CEO, the Corporate Legal Counsel will:
- Deliver sound legal advice across a wide array of strategic areas, including M&A, licensing, corporate securities, commercial matters, privacy, regulatory compliance, and employment law, while supporting both US and global business operations.
- Draft, negotiate, and manage a wide variety of inbound and outbound clinical, commercial, and other transactions in a fast-paced environment.
- Enhance the contracting process by developing templates and conducting training to mitigate risk and drive efficiency.
- Support business development activities and provide rapid legal responses to inquiries related to alliance agreements.
- Advise on corporate risk management initiatives, proactively identifying emerging risks that a late-stage biotechnology company may face.
- Provide creative legal solutions and strategies that align with company needs and priorities.
- Collaborate in a bold, entrepreneurial, and passionate manner to advance Legal Department and company objectives.
- Assist with corporate governance, employment matters, and other legal support as needed.
- Perform other duties as assigned based on business needs.
Qualifications:
- Juris Doctor (J.D.) degree from an ABA-approved law school and active membership in good standing with the Bar.
- At least seven (7) years of experience in a major law firm or a combination of law firm and global organization experience, focusing on corporate transactions, compliance, governance, and/or regulatory counseling.
- Experience in the pharmaceutical, device, or life sciences industry preferred.
- Proven ability to counsel senior executives with confidence and clarity.
- Strong prioritization skills and the ability to thrive under pressure in a high-volume transaction environment.
- Ability to create processes and work without established templates.
- Excellent relationship-building skills, with the ability to influence cross-functionally.
- Exceptional judgment, attention to detail, and capacity to handle sensitive and confidential information.
- Strong verbal and written communication skills for effective collaboration with various departments and senior management.
- Fluency in Korean is highly preferred.
Working Conditions:
This position will be performed in a normal office environment in Rockville, Maryland.
