Position Summary:
The Transactional Paralegal plays a vital role in the Firm’s corporate and transactional practice group, which includes mergers and acquisitions, real estate, commercial lending and finance, corporate governance, capital markets and securities, and other business and transactional matters. Duties encompass a wide range of tasks, such as managing closing checklists and closing proceedings, generating drafts and final document sets and signature packets for complex closings, assisting with lien and litigation searches and other deal diligence, drafting and reviewing documents, preparing reports, dealing with filing offices in different states and counties, and organizing and maintaining documents. We expect our Transaction Paralegals to understand the ultimate goals of projects, to anticipate future events, and to be an integral part of a team.
Essential Job Functions:
- Assist attorneys with the preparation and filing of legal documents, including contracts, agreements, and corporate filings.
- Prepare due diligence request lists; work with clients to collect due diligence information and materials; analyze due diligence materials to assist attorneys in determining compliance with representations and warranties contained in the transaction documents and the transferability of instruments, federal and state permits, and licenses; and collaborate with clients and aid attorneys in consulting with opposing counsel to resolve issues that may negatively impact the timing of the closing.
- Prepare and file various formation documents on behalf of corporate entities including charter documents, organizational consents, bylaws, company agreements, etc.
- Record real estate lien documents and search real property records to determine property ownership and identify easements, lines, and other encumbrances.
- Perform UCC searches, summarize results and file UCC financing statements.
- Prepare closing checklists, critical dates list, closing documents, various affidavits, certificates, and resolutions and closing binders.
- Coordinate and control the closing process for various transactions, loan transactions, mergers, and acquisitions, including the development, distribution, gathering, and assimilation of signatures and signature packets for extremely complicated closings involving multiple documents from various sources. Use of third-party products like “Simply Agree” to facilitate closings.
- Coordinate and maintain loan closing checklist and prepare documents required by lenders such as certificates and resolutions, construction escrow disbursement agreements, etc.
- Draft a variety of legal documents, including but not limited to, real estate purchase agreements, leases, acquisition agreements, loan agreements, guaranty agreements, mortgages and deeds of trusts/mortgages, promissory notes, financing statements, company formation/registration documents, corporate bylaws, and operating agreements.
- Organize and maintain transactional files and records.
Education and Experience:
- Bachelor's degree and/or paralegal certificate from an ABA-approved program
- Minimum of two (2) years of experience in a prior transactional paralegal role
- Familiarity with the types of transactions the firm commonly oversees, such as commercial loans, real estate, loan transactions, mergers and acquisitions, or corporate governance activities

- Demonstrate capability of researching local court rules to ensure proper methods of e-filing
- Able to quickly learn e-filing in out-of-state district courts and federal district court systems
- Knowledge of legal procedures, legal terminology, and e-discovery databases such as Relativity
- Strong document formatting experience
- Demonstrate a solid technical aptitude in the Firm’s software (e.g., NetDocuments, Elite, etc.)
- Ability to work with a multitude of software/web-based applications
- Operate standard office equipment such as telephones, conferencing equipment, photocopiers, scanners, postage machines, etc.
- Flexible to meet the unique needs of each individual attorney to support their practice and/or to support the specific needs of a client matter
- Use proper judgement and discretion when dealing with sensitive, confidential information
- Ability to manage stressful situations in a professional and courteous manner
- Awareness of transaction goals and the ability to anticipate tasks and pace of work needed to reach goals and desired outcomes
- Proven project management, organization, and planning skills with the ability to prioritize multiple tasks and projects to meet tight deadlines

Physical Demands:
While performing the duties of this job, the employee will be required to read from hard-copy paper and computer screen, sit, talk, hear, use wrist, hands, and fingers repetitively to type, write, operate computer and other office equipment/machinery, handle and grasp paper and other office objects. Additionally, the person in this position will remain in a stationary sitting position 90% of the time working on a computer; occasionally moving about our office to visit and meet with others and/or attend meetings, access file cabinets, use office machinery, etc., which will require bending and lifting of items less than 25 lbs. The typical office environment is of moderate noise level, an indoor temperate environment, and light levels that are bright and conducive to minimal eye strain. Little to no travel is expected for this position.
