Job Overview: Contract Administrator
Reporting to Loftware’s Lead, Contract Management and Legal Operations, the Contract Administrator will work closely with Loftware’s global sales, services and operational personnel to provide advice and support with respect to all commercial contracts (confidentiality agreements, customer license orders and statement(s) of work) with Loftware’s customers, partners and vendors.
The ideal candidate will be able to (i) learn, understand, analyze and explain legal, contractual, and business issues and processes; (ii) manage the administration and processing of Loftware’s in-bound and out-bound contracts; and (iii) multi-task while maintaining a strong attention to detail, resourceful, superior organizational skills, the ability to maintain workflow, prioritize multiple tasks and ability to meet deadlines.
This Legal team position will interface with different departments within Loftware in performing this key role, including Loftware’s Finance, Sales, Pre-Sales, Sales Support and Customer Account Management (“CAM”) departments. Loftware is a fast-paced, high growth environment, so the Contract Administrator must be energetic, focused and results-oriented with a high degree of integrity and must be able to determine appropriate action and regularly exercise independent discretion and judgment within defined policies.
Location: This position has flexibility for remote work within the United States (preferably on EST time zone).
Expectations and Tasks of Job:
- Be the initial point of contact for drafting and review of legal agreements such as software subscription and licensing agreements, order forms, amendments, RFIs/RFPs, NDAs, and other contracts with customers, suppliers, partners, and resellers.
- Work closely with global sales, service and operational personnel to manage and assist in finalizing software licensing transactions (SaaS and on-premise) and vendor agreements.
- Ensure that contract terms are consistent with the corporate contracting strategy, are approved by relevant stakeholders, and are negotiated within the legal, financial, and compliance guidelines established by Loftware.
- Escalate non-standard or complex matters to the appropriate Legal personnel, including identification and mitigation of risks by ensuring all contracts comply with applicable regulations and company policies.
- Management, processing and distribution of contracts in a timely manner, including maintaining a centralized database of all contracts, ensuring proper organization, tracking, and record-keeping.
- Work with CAM and Renewals teams to: (i) monitor contract renewal and expiration dates; and (ii) facilitate timely renewals or terminations.
- File/folder organizing (electronic).
- Data entry (Excel, Salesforce.com, LinkSquares (Loftware’s CLM system)).
- Communication of status of work and potential risks (to Legal, Finance, Sales and Sales Support departments).
- Support the continuous improvement of standard form agreements, legal processes and related system file administration.
- Contribute thoughtfully to streamlining and automating the contracting process and the development and maintenance of documented contracting processes, standard forms, and playbook
- Legal Research: Conduct legal research related to contract law, company policies, and applicable regulations to provide guidance on best practices.
- Support performance of existing contracts by advising Loftware’s internal clients, in consultation with the General Counsel, on contract interpretation and obligations, including contract law, Loftware policies and applicable regulations.
- Maintain internal control and safeguards for legal documents and other compliance considerations.
- Track deadlines and deliverables and communicate on an ongoing basis with business partners and internal clients about contract status.
- Exhibit flexibility and willingness to take on new responsibilities and assignments as they are identified and to assist with various ad hoc projects as needed.
Experience and Role Requirements:
- 2-3 years of related experience in Contract Administration, or 5+ years of experience as a Paralegal
- Strong planning and project management skills with experience
- Demonstrated experience with understanding, interpreting, and managing contracts, in a corporate or law firm environment.
- Understanding of contract law and legal terminology. Familiarity with compliance regulations, risk management, and commercial law.
- Proficient in MS Office and Salesforce; familiarity with LinkSquares is a plus.
- Possess a strong attention to detail, operate effortlessly in a highly dynamic environment and leverage cross-functional working skills to move with agility.
- Fluency in English language writing and oral communication skills.
- Excellent business judgment and strategic thinking.
