I am working with a very sophisticated firm; that provides proprietary investment products and offers independent, high-quality financial advice. The firm manages a wide array of investment vehicles with significant expertise and a long and successful track record in alternative strategies, including hedge funds and private equity.
This firm is seeking an Assistant General Counsel to assist with the negotiation and management of trading relationships, including documentation such as prime brokerage, ISDA, FCM, GMRA, and MRA agreements used by the firms separate account platform, and banking and financial relationships across the firms business lines.
This position will report into the Deputy General Counsel.
Primary Responsibilities
- Maintain familiarity with regulation of private funds in the US and EU, including Dodd-Frank, EMIR/MIFID, and SEC and CFTC regulations
- Delegate to and liaise with external counsel
- Track status of negotiations
- Review responses to KYC/ AML requests prepared by paralegals/ external counsel
Desired Background
- 3+ years of experience at a law firm, dealer, or buy-side institution reviewing and drafting documentation for prime brokerage, over-the counter and cleared derivatives, listed futures and options, and securities lending and repurchase transactions
- Basic knowledge and understanding of legal entity types and regulatory requirements in the private fund and pension fund asset management industry
- Familiarity wit ISDA protocols
