To support this growth, they are seeking a skilled and experienced attorney to join their legal team as their Assistant General Counsel. This role reflects the company's commitment to operational excellence and legal expertise as it advances its energy projects.
Position Overview:
As the Assistant General Counsel, you will play an essential role in managing the legal aspects of renewable energy project development and operations. Collaborating closely with internal teams, you'll provide legal expertise to guide projects from early development stages through to commercial operations. Your work will be integral in overcoming legal challenges, structuring key transactions, and ensuring smooth project execution.
Primary Responsibilities:
- Cross-Functional Collaboration: Partner with multidisciplinary teams-including development, engineering, finance, and asset management-to provide legal support across all phases of project development and commercial operations.
- Business and Legal Advisory: Act as both a legal advisor and strategic business partner, delivering practical and innovative legal solutions to support project execution and business goals.
- Contract Management: Draft, review, and negotiate key contracts related to project development, including Engineering, Procurement, and Construction (EPC) contracts, Equipment Procurement Contracts, and Operations and Maintenance (O&M) Contracts. Ensure all contracts meet company standards and comply with relevant legal and regulatory requirements.
- Project Finance Assistance: Collaborate with the finance team to support project financing efforts, ensuring legal compliance and smooth coordination with lenders and investors.
- Mergers and Acquisition Support: Provide legal support for M&A activities, including due diligence, negotiation, and execution of acquisition agreements. Advise on legal risks and opportunities associated with potential acquisitions and partnerships.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in good standing with a state bar.
- Proven ability to manage the drafting and negotiation of all commercial agreements related to the development of renewable energy projects
- Minimum of 3 years of legal experience with either project development or project finance transactions for renewable energy projects.
- Proven expertise in renewable energy contract negotiation and drafting.
- Ability to work independently.
- Currently located in Phoenix, Arizona or open to relocating to Phoenix
